Performance Brief on Uchumi Rescue Plan and Way Forward

The Government led “Uchumi Rescue Plan (URP)” that was unequivocally
endorsed, has been implemented for the last three years successfully. The
Government of Kenya (GoK) Task Force and the Specialized Receiver/Manager
(SRM) is hereby inviting all the Uchumi shareholders to a meeting to be held on
Tuesday July, 28, 2009 at KICC at 10.00 am.

The agenda shall be to update/brief the shareholders on the following:

1. Successful performance in the last three (3) years.

2. Uchumi Business Plan-Uchumi Rescue Plan

3. The status of the last two Debenture Loans,

4. The USL way Forward-“Recapitalization Plan,

5. Any Other Business(AOB).

It is in the best interest of all the stakeholders, for Uchumi Supermarkets to
have sufficient working capital and for the Company’s shares to be re-listed for
trading at the Nairobi Stock Exchange as soon as possible. Consequently, the
Shareholders are encouraged to fully participate in the Recapitalization Plan to
facilitate lifting of the receivership and realization of the shareholders’ value.
